Affiliate Policy

By purchasing Aurora Media's services for resale, you agree to adhere to this Affiliate Policy.

To ensure that Aurora Media's authorized Affiliates ("Affiliates") are able to maintain healthy margins and ensure that Aurora Media's end users receive a quality sales and customer service experience, Aurora Media has announced this Affiliate Policy (the "Affiliate Policy"). AURORA MEDIA believes that its end user customers are best served by having resellers who market the AURORA MEDIA Services as premium branded products and who provide an outstanding level of service and support to their end user customers.

AURORA MEDIA adopts this Resale and Quality Policy (this "Policy") and requires each person, company or entity (as applicable, an "Affiliate") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any agreement entered into between AURORA MEDIA and Affiliate in connection with Affiliate's purchase or sale of the Services.

Sales only to end users.

Unless otherwise agreed with AURORA MEDIA in writing, Affiliate may only purchase Services for resale to consumers and end users and Affiliate may not resell Services to suppliers or for distribution in any way.

Internet Sales Prohibited.

Affiliate shall be prohibited from selling our branded Products over the Internet unless it applies, is approved by AURORA MEDIA and executes an authorized Internet Affiliate Agreement or other similar agreement governing the manner in which it sells online.

Territory Restricted Sales.

If Affiliate purchases Services under a contract that obligates Reseller to resell the Services in a geographic territory, Affiliate must comply with that obligation.

Intellectual property.

Unauthorized use of the intellectual property of our Services is prohibited. Affiliates who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use AURORA MEDIA's trademarks and copyrights in connection with the sale of the Products. Affiliate will not alter, modify or change any trademark or copyright, nor will Affiliate use any trademark or copyright other than for the promotion and sale of the Services, nor will Affiliate use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and forfeiture of all rights granted herein. AURORA MEDIA reserves the right to revoke this license at any time for any or no reason.

Inspection Service.

AURORA MEDIA will promptly inspect all Services upon completion and will promptly return on the terms of sale any Services that appear incomplete or unsatisfactory upon inspection.

Sales Practices.

Affiliate shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading or unethical advertising or practices at any time or make any warranties or representations with respect to the Services, except as expressly authorized by AURORA MEDIA. Affiliate shall comply with applicable laws, rules, regulations and policies relating to the advertising, sale and marketing of the Services.

Customer service level.

Affiliate will provide the highest levels of customer service. Affiliate and Affiliate's sales personnel must be familiar with the special features of all AURORA MEDIA Services marketed for sale and must obtain sufficient product knowledge to advise customers on the selection and safe use of the Services, as well as any applicable warranties, guarantees or returns.

Customer service channels.

Affiliate will maintain customer service email and telephone response functions as required by the original Agreement to handle customer complaints, returns and other customer service functions. Upon AURORA MEDIA's request, Reseller will provide any reports or other information requested by AURORA MEDIA, with respect to a particular Service to determine the date of Affiliate's purchase of the Service, the location where the Service was purchased and the dates on which the Service was sold or performed by Affiliate to a purchaser.

Consumer Safety and Cancellation of Service.

Partner will cooperate with AURORA MEDIA in connection with any investigation of consumer safety complaints or any evaluation of termination of Service. To ensure the safety and well-being of end users of the Services, Affiliate agrees to cooperate with AURORA MEDIA with respect to any Service cancellation or other consumer safety information dissemination efforts.

Service failure.

If a significant amount of Services purchased by the Affiliate fails, the Affiliate shall immediately report such event to AURORA MEDIA.

Report unauthorized resellers.

If Affiliate has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by AURORA MEDIA, Affiliate must immediately notify AURORA MEDIA.

Other information, documents and reports.

Affiliate must provide AURORA MEDIA with all supplemental information, documents and reports that AURORA MEDIA may request to validate Affiliate's compliance with this Policy and to support AURORA MEDIA's warranty and customer service support obligations and initiatives.

Unilateral policy changes

AURORA MEDIA sales personnel have no authority to modify or grant exceptions to this Unilateral Policy. All questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee by email.

Termination and liability due to policy violation

If AURORA MEDIA determines that Affiliate is in violation of the Affiliate Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from Affiliate or instructing its distributors to refuse to accept orders from Affiliate.

Policy modification and changes

AURORA MEDIA reserves the right to update, amend or modify this Affiliate Policy at any time. Unless otherwise stated, such amendments shall be effective immediately and Affiliate's continued use, advertising, offering for sale or sale of the Products shall be deemed to be Affiliate's acceptance of the amendments.
